Terms of sale

These terms cover the purchase and use of the shadcn for Penpot kit and its agent skills, sold by Inovativa Solutions Ltd, K. Filica 2, Varazdin, Croatia. Buying any plan means accepting them. The plain-language summary of what each plan includes lives on the licensing page; where the two disagree, this page governs.

What you are buying

A licence to use the kit, not ownership of it. The Penpot file, the design tokens, the icon page and the nine agent skill bundles remain the property of Inovativa Solutions Ltd. The licence is perpetual: it does not expire, and it does not renew.

Payment is one-time. Updates released for the life of the kit are included at no further cost. If the price rises later, that does not affect a licence already bought.

Seats

A seat is a person who opens the file or installs the skills, not a device and not a project. Personal covers one person, Team five, Organization up to fifteen, Enterprise an unlimited number within one organisation.

Seats are named but not fixed. When someone leaves, their seat passes to whoever replaces them. Rotating a single seat between several active people to avoid buying a larger plan is not permitted.

What you may do

Build commercially. Use the kit on an unlimited number of projects, for yourself or for clients, including work you are paid for.

Modify it. Change components, retoken it, add your own parts, and keep the result as your own working file.

Ship the output. Interfaces and code produced with the kit are yours. Nothing has to be attributed.

Share within your seats. Connect the file as a shared library across the people your plan covers.

What you may not do

Redistribute the kit itself. Not the file, not the tokens, not the skill bundles, whether free or paid, whole or in part.

Resell it. Including as part of a template, theme, course, or another design system offered to others.

Publish it openly. A public Penpot link, a public repository or any other route that puts the source file in reach of people without a seat.

Use it to build a competing kit. Deriving a component library for sale or distribution from these files is not covered by any plan.

Delivering client work built with the kit is fine. Handing the client the kit is not, unless they hold their own licence.

Refunds

The kit is a digital product delivered immediately, and the free demo file exists so the components and the token architecture can be judged before paying. Refund requests are accepted within 14 days of purchase, at hi@shadcnpenpot.com, and are granted where the kit does not do what this site says it does.

Consumers in the EU have a statutory fourteen-day right of withdrawal for digital content, which is waived once delivery begins with the buyer's consent. Nothing here limits rights that cannot be limited by contract.

What is not promised

The kit is supplied as it is. It is checked against the shadcn/ui source before each page ships, and known differences are written on the relevant component page, but it is not warranted to be free of defects or fit for any particular purpose.

Penpot is an independent product. This kit depends on it, and on the Penpot plugin API for the agent skills. Changes on that side may affect how the kit behaves, and that is outside the control of Inovativa Solutions Ltd. Liability is limited to the amount paid for the licence, to the extent the law allows.

This kit is not affiliated with, endorsed by, or sponsored by shadcn/ui or Penpot.

Changes

These terms may change for future purchases. The terms in force on the day of purchase are the ones that apply to that purchase. Material changes will be dated at the top of this page.

Law and contact

These terms are governed by the law of Croatia, and disputes fall to the courts there. For anything about this page, write to hi@shadcnpenpot.com.
